Arbitr Group Limited (ASX: AGT) (Arbitr or Company) has recently announced a proposed $4.86 million capital raising to strengthen its financial position and accelerate the commercialisation of its enterprise AI platform, including its Enterprise AI Context Engine, targeted for release in 2026.

The proposed capital raising comprises a fully underwritten, non-renounceable rights issue to raise approximately $3.86 million and a separate $1 million placement, subject to shareholder approval. Proceeds are intended to fund Arbitr’s organisational transformation, support sales growth and provide working capital.

The rights issue is priced at $0.10 per share, on the basis of three new shares for every five shares held by eligible shareholders on 16 November 2026. The rights issue is expected to open on 19 November 2026 and close at 5.00 pm AEDT on 30 November 2026. A prospectus for the rights issue and the placement is expected to be lodged with ASIC and NZ Disclose Register, and released on ASX on 11 November 2026.

The raising comes as Arbitr positions itself in the emerging AI Context Platform market, a new category of enterprise AI infrastructure identified by Gartner, a global technology research and advisory company, in August 2026. Gartner estimates the market at US$28 billion in 2026, growing to US$78 billion by 2030, representing compound annual growth of 29.5%.*

Arbitr’s Enterprise AI Context Engine is being developed to help organisations address a growing challenge as they adopt AI: enabling multiple AI agents, applications and models to access trusted, reusable enterprise knowledge. The Engine will provide a governed intelligence layer connecting enterprise knowledge, systems and data with customers’ wider AI agents and applications.

Arbitr's enterprise AI strategy is supported by its existing relationship with IBM Japan, including the deployment of Arbitr agents through IBM watsonx. The relationship provides an established enterprise technology ecosystem through which Arbitr is developing and demonstrating its AI capabilities, complementing the company's broader strategy to commercialise governed enterprise intelligence.

Arbitr is also preparing an organisational transformation to align its operating model and cost base with its move towards an enterprise AI platform business, targeting approximately $2 million in annualised recurring operating cost savings, subject to employee consultation and successful implementation.

Arbitr is already demonstrating growing activity across its AI-enabled platform, with more than 100 customers onboarded and over 785 projects recorded. Recent operating data shows a 181% month-on-month increase in words delivered, while 85% of delivered words over the past 30 days were processed without human intervention. These metrics highlight the increasing utilisation of Arbitr's technology and its potential to support more scalable, AI-enabled enterprise service delivery.

Interim Co-Chief Executive Officer David Sowerby said the raising would support the company’s transition to an enterprise AI platform business.

“Enterprise AI is moving beyond experimentation, but organisations face a fundamental challenge: how to ensure AI agents have access to trusted business knowledge, with the governance and controls required to operate effectively.

“We believe enterprise context will become an increasingly important part of the AI technology stack. Arbitr is developing the infrastructure to make organisational knowledge accessible and reusable across multiple AI agents, applications and models.

“The proposed capital raising, together with our proposed operating model transformation, is intended to provide the financial and operational foundations to accelerate that strategy.”
